On
November 15, 2007, the Board of Directors of Southwest Airlines Co. (the
“Company”) approved the amendment and restatement of the Company’s 2005 Excess
Benefit Plan (the “Plan”). The purpose of the amendment and
restatement was to technically conform the Plan to the requirements of the
final
regulations promulgated under Section 409A of the Internal Revenue Code of
1986,
as amended. The terms of the amended and restated 2005 Excess Benefit
Plan (which is filed as Exhibit 99.1 to this Current Report) are incorporated
herein by reference.
